Terms of Service

Clous provides programmatic access to entity-resolved data derived from public filings of the U.S. Securities and Exchange Commission (EDGAR) and other public sources, delivered through a REST API, a hosted MCP server, and a web dashboard. We may add, change, or remove endpoints and features over time.

• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and API keys, and for keeping your keys secret. Treat a clous_live_ key like a password.
• Notify us promptly at security@clous.ai if you believe a key has been compromised.
• You must be at least 18 and able to form a binding contract to use the Service.

You agree not to:

• Resell, redistribute, or sublicense bulk Clous responses as a substitute for the Service, or build a competing data API primarily from our output.
• Exceed or circumvent rate limits, credit metering, or other technical controls.
• Use the Service to violate any law, infringe rights, or in connection with unlawful market manipulation or insider trading.
• Attempt to access accounts, data, or systems you are not authorized to access, or probe the Service for vulnerabilities except under a program we authorize in writing.

• Paid plans and credit packs are billed through our payment processor (Stripe). Calls debit credits by endpoint weight; we stop serving when your balance reaches zero.
• Prices may change; we will give notice of material changes. Taxes are your responsibility where applicable.
• Except where required by law, credits and fees are non-refundable. Unused credits may expire per your plan terms.

• All data is derived from public SEC EDGAR filings and other public sources. Clous is independent of, and not affiliated with, the SEC. SEC® and EDGAR® are registered trademarks of the SEC.
• We work to resolve and normalize data accurately, but we do not warrant that any data is complete, accurate, current, or fit for a particular purpose. Filings may contain errors at the source.
• Clous is a data provider, not a broker, dealer, or investment adviser. Nothing in the Service is investment, legal, tax, or financial advice. You are solely responsible for decisions you make using the data.

The underlying filings are public records. The Service — including our entity resolution, APIs, schemas, software, documentation, and brand — is owned by Clous and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service and its output within your applications.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, risk to the Service or others, or as required by law. Sections that by their nature should survive (including IP, disclaimers, and liability) survive termination.

We may update these Terms; material changes will be posted here with a new “last updated” date and, where appropriate, additional notice. Continued use after changes means you accept them. Questions? Email legal@clous.ai.
